Director - Governance, Risk & Compliance

Pennell Hart are a Legal & Compliance Executive Search firm based in the UAE. Our client is an Abu Dhabi based, publicly listed manufacturing company who seeks a Director of Compliance to join their growing organisation.

Reporting into the Managing Director, the Director GRC will provide strategic leadership and oversight of governance, risk management, and compliance across the portfolio. This senior role requires candidates to play a pivotal role in shaping the governance framework and practices.

Key Responsibilities:

• Conduct current state assessments and gap analyses of existing risk management and compliance processes, proposing and implementing actions to address identified gaps.
• Maintain and update the Governance, Risk, and Compliance Manual.
• Work closely with the relevant investments lead, providing leadership on risk management, structuring, compliance, and governance aspects related to structuring.
• Lead and mentor the Governance Risk and Compliance team, fostering a culture of excellence, continuous improvement, and professional development.
• Perform deal file reviews upon transaction completion to ensure they are complete and audit-ready.

Qualifications & Skills:

• Bachelors degree in Law, Business, or related field (Masters/MBA preferred).
• Minimum 8 years of experience in a similar role or as a lawyer in a reputable international law firm / as an auditor in one of the Big Four audit firms.
• Strong stakeholder management, strategic thinking, and fluency in English (Arabic a plus).
• Extensive knowledge and experience developing marketing materials, conducting roadshows, and maintaining investor relations.
