Job Description
The Legal Counsel will oversee all legal aspects of the companys real estate transactions and operations. This includes reviewing contracts, managing regulatory compliance, mitigating legal risks, and advising senior management on real estate development, leasing, acquisitions, and sales.The role requires strong legal acumen, commercial awareness, and the ability to work independently in a fast-paced real estate environment.
Key Responsibilities- Contract Management
Draft, review, and negotiate contracts related to:
- Real estate purchases and sales
- Leasing (commercial, residential, industrial)
- Joint ventures, SPVs, and development agreements
- Facility and property management agreements
- Ensure contracts are legally sound, commercially viable, and protect the companys interests.
- Legal Advisory & Transaction Support
- Provide legal advice on real estate deals, land acquisition, zoning laws, title deeds, strata regulations, and freehold/leasehold structures.
- Support due diligence and legal feasibility studies for development projects.
- Advise on RERA/DLD compliance and registration processes (UAE-specific).
- Review title documents, government approvals, and licensing requirements.
- Risk & Compliance
- Identify legal risks and provide mitigation strategies.
- Ensure compliance with applicable laws including land laws, building codes, tenancy regulations, environmental laws, and corporate governance.
- Monitor changes in real estate, construction, and commercial laws and assess impact on company operations.
- Litigation, Arbitration & Dispute Resolution
- Manage disputes with tenants, contractors, regulators, or partners.
- Handle pre-litigation matters and liaise with external counsel when litigation or arbitration is required.
- Represent the company in legal proceedings where applicable.
- Internal Policies & Training
- Develop and update legal policies, templates, and compliance checklists.
- Conduct training sessions for internal teams on legal procedures, contract risk, and regulatory updates.
- In-depth knowledge of real estate, construction, and commercial law
- Strong negotiation and drafting skills
- Excellent communication and stakeholder management
- Sound judgment with a pragmatic, solution-oriented approach
- Ability to manage multiple projects and deadlines under pressure
- Bachelors degree in Law (LLB); Master&aposs or LLM is a plus
- Admitted to practice law in [relevant jurisdiction]
- Minimum 58 years of experience in real estate law (preferably with a developer, real estate investment firm, or top-tier law firm) within UAE
- Experience in UAE or GCC real estate law and regulatory frameworks (e.g., RERA, DLD, land departments) is mandatory
- Bilingual (Arabic/English) is an advantage.
- Familiarity with offshore structures, SPVs, escrow laws, and financing instruments is beneficial.
- Role may require coordination with external legal counsel, government bodies, and international legal advisors.
