About the Job:
An opportunity has arisen for a Company Secretarial Officer to join TCOM Group. The main duties and responsibilities of this role:
Board and Committee Support
Assist in organizing Board, Board Committees and General Assembly meetings, including preparing agendas, coordinating with attendees, and arranging logistics.
Support in managing the Board Portal and dissemination of meeting packs.
Prepare and maintain an annual calendar for Board and Committee meetings in coordination with the Company Secretary.
Support with corporate secretarial duties as directed by the Company Secretary.
Documentation and Compliance
Maintain accurate and secure records, including Minute Books, resolutions, voting outcomes, and Board policies.
Update and track legal documentation required by the Board, ensuring availability for audits and compliance checks.
Assist in the preparation, review, and distribution of Board resolutions, circulars, and policy documents.
Maintain statutory books and records, including statutory registers
Governance and Compliance
Support the Company Secretary in monitoring changes in legislation and regulatory requirements impacting the organization's governance.
Assist in regulating the Board's disclosures and maintaining compliance with the Securities and Commodities Authority (SCA) guidelines.
Assist with the governance compliance requirements inter alia Board evaluation, independence assessments, conflict of interests reviews.
Maintain action logs/trackers derived from Meetings and regularly follow up to ensure points arising are dealt with in a timely manner.
Support with any governance compliance duties as directed by the Company Secretary
Communication and Reporting
Assist in preparing reports and memos to update the Board and management on governance-related matters.
About you:
The ideal candidate for this position will have the following experience and qualifications:
- Bachelor's degree in law, Corporate Governance, or a related field.
- Minimum of 1-3 years in a similar role within corporate governance, legal, or board secretarial functions.
- Understanding of SCA regulations and corporate governance principles.
- Proficiency in Microsoft Office, particularly Word and PowerPoint.
- Strong communication and business writing skills.
- Attention to detail and ability to handle confidential information with discretion.
- Knowledge of Arabic is preferred.
